I. Acceptance and Modification of Terms
This agreement is between Crushkey members (the "Member") and Hunan Senyan Media Co., Ltd. (the "Company") regarding the use of the auto-renewal delegated payment service (the "Service"). This agreement outlines the rights and obligations between the Member and Crushkey. A "Member" refers to an individual who uses Crushkey's membership services.
This agreement is a prerequisite for using the Service. Please read all terms carefully before use, especially those in bold. The Company has highlighted exemption or limitation clauses in bold for emphasis.
If you are under 18 years old, use this Service under parental guidance or with parental consent. Minors' use of this Service implies parental approval, and this agreement is legally binding on both the minor and their guardian.
II. Service Description
2.1 The Company reserves the right to modify this agreement. Updated terms will be announced on relevant pages. If you disagree with any modification, cancel auto-renewal. Continued use constitutes acceptance.
2.2 Members are bound by the Crushkey User Agreement, Crushkey Privacy Policy, and related sub-agreements. Use of the Service implies acceptance of all terms and updates.
III. Service Details
3.1 This Service is designed to prevent membership expiration due to oversight. By enabling auto-renewal, you authorize Crushkey to deduct fees for the next billing cycle from your account (e.g., third-party payment accounts, bank cards) before expiration. This requires successful account binding and sufficient balance.
3.2 If auto-renewal is enabled and not canceled before expiration, you authorize Crushkey to initiate deductions via payment channels. Apple iOS auto-renewal follows Apple's policies.
3.3 Billing cycles include weekly, monthly (30 natural days), quarterly, or annual options (as specified by Crushkey).
3.4 Auto-renewal remains valid indefinitely unless explicitly canceled by the Member or the Company.
3.5 Members may cancel auto-renewal at any time. Failure to cancel implies consent for repeated deduction attempts (even with insufficient funds).
3.6 Deduction timing may vary based on payment channel rules.
3.7 Upon successful deduction, the next billing cycle will be activated.
IV. Rights and Responsibilities
4.1 Crushkey will deduct fees for the next cycle on the expiration date. If deduction fails due to force majeure (e.g., network failure), the date will be postponed. Members bear full responsibility for failed deductions due to account issues.
4.2 In case of deduction errors, both parties shall cooperate to resolve issues and bear liabilities proportionally based on fault.
4.3 The Company may modify service terms for business or technical reasons. Continued use implies acceptance of changes.
4.4 Service prices are subject to change and will follow the latest rates published on Crushkey.
V. Term and Termination
5.1 This agreement takes effect upon Service activation and terminates upon Service cancellation or membership termination.
5.2 Members may cancel auto-renewal at any time. To avoid next-cycle charges, cancel before the current cycle expires.
5.3 Auto-renewal status updates may experience delays. Deductions initiated before cancellation remain valid, and fees will not be refunded.
5.4 Crushkey may suspend or terminate this Service for business adjustments or price changes, with prior notice.
5.5 The Company may terminate Service immediately under the following circumstances:
(1) Legal confirmation of violations or suspected breaches of this agreement or laws;
(2) Interference with Crushkey's normal operations;
(3) Significant risks identified by the Company;
(4) The Company may decide to terminate transactions and retain fees as penalties;
(5) The Company may suspend or terminate the Service with prior notice.
VI. Minor Usage Terms
6.1 Minors under 18 must use paid membership services under guardian supervision and consent.
6.2 Guardians must apply for services in their own name. Minor usage implies guardian approval.
6.3 Minors should:
(1) Protect personal information during registration;
(2) Learn safe internet use under guidance;
(3) Avoid unsafe interactions with strangers.
6.4 Guardians and schools should guide minors in using paid services.
VII. Force Majeure
The Company is not liable for losses caused by system maintenance, third-party failures (e.g., telecom issues, cyberattacks), natural disasters, government actions, or other force majeure events. No refunds will be issued for Service interruptions.
VIII. Dispute Resolution
This agreement is governed by Chinese law. Disputes shall be resolved through friendly negotiation or litigation in the defendant's local court.
